1. Services Provided
Contractor offers virtual assistant and online business management services, including but not limited to assessment, systems setup, and administrative support for pet grooming businesses. All services are further detailed per package purchased and listed publicly on our Dubsado or Squarespace service pages.

2. Term & Termination
This Agreement becomes effective on the date of Client’s purchase and remains in effect until services are completed or either party provides 48-hour written notice. Upon termination, all access to client materials will be closed, and project documents returned or archived securely. 


3. Payment Terms
All services must be paid upfront. Failure to pay within 7 days of invoice will result in late fees and may suspend service delivery. No refunds are provided unless otherwise stated in service-specific terms. Add-ons and service expansions will be invoiced separately. Prices are subject to change with 30-day notice.

4. Client Responsibilities
Client agrees to: 

  • Complete onboarding forms within 30 days of purchase. 

  • Provide timely responses and availability for scheduled meetings. 

  • Supply any necessary SOPs or requested documents to carry out services effectively. 

Failure to complete onboarding within the given timeline may result in service cancellation without refund. 


5. Contractor Responsibilities
Contractor agrees to: 

  • Deliver services as described in the purchased package. 

  • Maintain communication via designated channels (e.g., Slack). 

  • Maintain confidentiality and adhere to outlined timelines unless otherwise communicated. 


6. Confidentiality
All information shared by the Client will remain confidential. No private business data, passwords, client lists, or business documents will be shared or used outside the scope of services. This obligation extends 10 years beyond termination. 


7. Data Security
Contractor uses secure password management and VPNs to protect client data. Contractor does not claim ownership of client platforms and will cease access immediately upon service conclusion or termination. 


8. Independent Contractor Relationship
Contractor is an independent contractor, not an employee. All taxes, insurance, and benefits are the Contractor’s responsibility. 


9. Ownership of Work
All work created as part of paid services is owned by the Client. Contractor retains no rights to completed work. 


10. Disclaimer & Limitation of Liability
Contractor makes no guarantee of business results. Client uses services at their own discretion. Contractor is not liable for business decisions or outcomes. In no event shall Contractor be liable for damages exceeding the amount paid under this agreement. 


11. Indemnification
Both parties agree to indemnify and hold one another harmless against claims arising out of a breach of this agreement or misconduct related to the services performed. 


12. Governing Law
This Agreement is governed by the laws of the Contractor’s operating state. Any disputes shall follow state and federal guidelines. 


13. Additional Terms 

  • Rollover hours (for Monthly Maintenance packages) must be used within 30 days. 

  • Service descriptions and timelines are defined per service tier.
